Terms of use

CostSlice is a pass-through OpenAI proxy plus a customer P&L. Today this is OpenAI. Claude and other models come later. You keep your OpenAI API key in your own environment. An engineer changes the OpenAI address in your product and sends x-cs-key. Those are two keys. We do not collapse them. We report AI cost against the plan price you set.

CostSlice is not an AI gateway. We do not route models, cache completions, issue virtual keys, or sit in front of other providers. OpenAI fulfills the model call with the OpenAI API key you provide. If OpenAI refuses a call, we do not override that refusal.

Ingest is fail-open. A missing tag or a slow control plane never drops the completion. Untagged traffic still returns. We record it as untagged so you can fix the header.

Starter is a hard request cap on the CostSlice plan: 10,000 requests per month, no overage, no card. When Starter hits included requests, new proxy calls stop. That is a plan cap, not a customer kill switch.

We do not cap a tenant because a P&L row is red. Unprofitable is a report. You change a price. Pro and Scale meter overage at $6 per 100,000 requests after the included volume.

x-cs-key is a CostSlice secret credential. It is not a license file. Do not commit it. Rotate it if it leaks. Close account revokes CostSlice keys. We store a hash of the CostSlice key for lookup. We do not email the secret again after you copy it.

Your OpenAI API key never lives in CostSlice. Authorization is forwarded. We never log it. We never store it.

Starter is $0, 10,000 requests per month, 7-day retention, 1 seat, hard cap, no credit card needed. Pro is $79 per month, 250,000 requests, 90-day retention, unlimited seats, overage $6 per 100k requests. Scale is $199 per month, 2,000,000 requests, 365-day retention, same overage. Pricing on the homepage wins if a number here is stale. There is no /pricing URL. Paid plans renew until you cancel.

You own the tags you send and the customer P&L we show from those tags. Media Yard LLC owns CostSlice: the software, the site, the proxy, and our marks. We do not claim your product, your OpenAI account, or your customers.

Today CostSlice only sits in front of OpenAI. Claude and other models come later. OpenAI fulfills the model call with the OpenAI API key you provide. OpenAI’s terms apply to that call. We never hold your OpenAI API key. We never store prompt or completion bodies. If we are slow we still proxy. A missing tag never drops the completion. You are the deployer of any AI feature in your own product. Media Yard LLC is not the provider of that AI system. See the AI policy.

You need a work email and you must be 18. CostSlice is a B2B product. Magic link is how you sign in. If Continue with Google is offered, that sign-in uses the Google account email, not a password. You are responsible for tags you send and for people you invite.

Tenant, feature, and env tags must be opaque ids. Never put an email, other personal data, a secret, or a medical record number in a tag.

Do not probe or scrape other workspaces. Do not overload the proxy. Do not resell CostSlice as a gateway or as a competing gateway. Do not use CostSlice to evade OpenAI terms, usage policies, rate limits, safety mitigations, or geo restrictions.

Report abuse to support@costslice.com with the subject line Abuse. We may suspend an account that breaks this section.

Cancel plan in Settings takes you to Starter immediately. The account and CostSlice keys stay. The Starter hard cap then applies.

Close account in Settings cancels Stripe if you are on a paid plan, revokes CostSlice keys, and erases the workspace and usage metadata. Prompts were never stored. Invoice and tax records stay as the law requires.

We may suspend or close an account that breaks these terms, overloads the proxy, or that we are required by law to stop serving. Ownership, amounts already due, liability, indemnity, and governing law survive cancellation or closure.

Each of us will keep the other’s non-public information confidential and use it only to run CostSlice. That includes your tags and P&L, and our non-public product details. It does not cover information that is public, already known, independently developed, or that the law requires us to disclose.

We do not train, fine-tune, or evaluate a model on what people type or what the model writes back. We do not write the answer. Output is between you and OpenAI. We pass the call through and count it.

You may not use CostSlice if US export-control or sanctions law prohibits it, including if you are on a US denied-party list or in a comprehensively sanctioned jurisdiction. You will not use CostSlice to violate those rules.

Where UK GDPR, EU GDPR, or similar law applies to usage metadata you send through the proxy, you are the controller and Media Yard LLC is the processor — or, if you yourself process that metadata on behalf of another controller, you are the processor and we are the sub-processor. The DPA is incorporated by using the service. You do not need a wet signature for it to apply. Email hello@costslice.com from the account email if you need a countersigned copy.

Paid plans are billed by Stripe in US dollars. Starter is $0. No credit card needed. Fees are exclusive of tax we are required to collect.

Paid plans are billed in advance. Canceling Pro/Scale moves you to Starter at period end (or as the product UI states). We do not promise a multi-day money-back guarantee. Unused paid time is not refunded unless we say otherwise in writing for a specific case.

There is no service-level agreement and no service credit. Support is email, best effort, on weekdays, US Eastern Time. See Support.

Media Yard LLC has no lawyer on staff. These terms, Privacy, the DPA, the AI policy, and Support are published so you can read them. They have not been reviewed by counsel. Nothing on costslice.com is legal advice.

Each of us will defend the other against a third-party claim that our own materials infringe that third party’s intellectual property, and will pay damages finally awarded, if the other gives prompt notice and lets the defending party control the defense. This does not cover OpenAI’s model, your product, your tags, or anything we did not supply. Our liability under this paragraph is still capped as in Liability, except where the law says we cannot cap it.

You will defend Media Yard LLC against a third-party claim that arises from the tags you send, your product, or the OpenAI traffic you send through CostSlice, and will pay damages finally awarded, if we give prompt notice and let you control the defense. This sits next to Mutual IP indemnity. It does not replace it.

The P&L is a report from the tags you send. Media Yard LLC is not SOC 2 or HIPAA certified. CostSlice is not legal, tax, or pricing advice, and it is not an AI gateway, router, cache, or virtual-key vendor. The service is provided as available, AS-IS, with no warranty of merchantability, fitness for a particular purpose, or non-infringement, as the law allows.

To the extent the law allows, Media Yard LLC is not liable for lost profits, lost data, or indirect damages, and total liability for a claim is the fees you paid us in the 12 months before the claim (zero on Starter). Nothing here limits liability for death, personal injury, or fraud, or any right that UK or EU law says we cannot limit, or a data subject’s rights under the Standard Contractual Clauses in the DPA. If a mandatory consumer or data-protection right conflicts with this paragraph, that right wins for that claim.

These terms, with Privacy, the DPA, and the AI policy, are the whole agreement. If a court strikes a clause, the rest still applies. If we do not enforce a right once, we can still enforce it later. You may not assign these terms except to a buyer of substantially all of your business; we may assign them if Media Yard LLC or CostSlice is sold. Neither of us is liable for delay or failure caused by events beyond our reasonable control.

These terms are governed by the laws of the State of New Jersey, without regard to conflict-of-law rules, except where UK GDPR, EU GDPR, or the EU AI Act applies of its own force. If a court has to hear a dispute that New Jersey can hear, it will be in New Jersey. That does not override the Ireland forum in the Standard Contractual Clauses for claims those Clauses give to data subjects. We will email notice of material changes to the work email on the account. If you do not agree, stop using CostSlice. Keep using after that email is acceptance.
